Terms of Service

§ 1 — Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Bespoke Mentis website (bespokementis.com and all subdomains) and any services provided through the Site (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

If you are accessing the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity. Enterprise product use is additionally governed by the applicable Master Service Agreement (MSA) or Order Form, which supersedes these Terms to the extent of any conflict.

§ 2 — Services Description

Bespoke Mentis, Inc. develops and operates governance-first AI systems for enterprise and regulated industries. Our services include:

• MIOS (Mentis Intelligence Operating System) — A governed AI operating platform replacing fragmented SaaS tooling with unified intelligence modules (analytics, content, email, CRM, SEO, security, and more)
• Agent Conexus — A governed outbound sales intelligence platform automating lead research, email generation, reply classification, and pipeline management
• Project Foresight — A governed intelligence operating system for pharmaceutical and biotechnology organizations
• Mentis Console — A constitutionally governed AI engineering platform with specialist AI Cores, cryptographic evidence chains, and mandatory human oversight
• Lumen — A governed legal intelligence system (in confidential development)
• Mentis AI Chat Interface — A public-facing AI demonstration and inquiry assistant at bespokementis.com/mentis
• Website and documentation — The bespokementis.com website, product documentation, blog, and associated digital infrastructure

§ 3 — Use License

Permission is granted to access the Site for personal, non-commercial informational use only. This is the grant of a license, not a transfer of title. Under this license, you may not:

• Modify, copy, or distribute the materials on the Site for commercial purposes
• Attempt to reverse engineer any software, system architecture, or AI model deployed on or accessible through the Site
• Attempt to extract proprietary frameworks, governance architectures, or system prompts
• Remove any copyright, trademark, or proprietary notations
• Transfer or sublicense the materials to another person or mirror them on any other server
• Use automated tools (bots, scrapers, crawlers) to systematically extract content from the Site without written permission

This license terminates automatically upon any violation of these restrictions. Bespoke Mentis reserves all rights not expressly granted.

§ 4 — Intellectual Property

All content on this Site and in our products — including but not limited to text, graphics, logos, images, software code, AI system architectures, governance frameworks, constitutional AI methodologies, evidence chain implementations, and documentation — is the property of Bespoke Mentis, Inc. or its licensors, protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.

"MIOS," "Mentis Console," "Agent Conexus," "Project Foresight," "Foresight," "Lumen," "Mentis," "Bespoke Mentis," "Constitutional AI" (as applied to our specific governance architecture), and the Bespoke Mentis logo are trademarks of Bespoke Mentis, Inc. Unauthorized use is prohibited.

§ 5 — AI Systems — General Disclaimer

All Bespoke Mentis products incorporate artificial intelligence and machine learning systems. By accessing or using any AI-powered feature of our Services, you acknowledge and agree that:

• AI-generated outputs are probabilistic and may contain errors, inaccuracies, outdated information, or omissions
• No AI output constitutes professional advice of any kind (legal, financial, medical, regulatory, clinical, or otherwise) unless explicitly stated in a separate professional services agreement
• You are responsible for reviewing, validating, and determining the appropriateness of any AI output before acting on it
• AI systems may have inherent limitations, biases, or failure modes not immediately apparent; Bespoke Mentis makes no warranty of fitness for any particular purpose
• The constitutional governance architecture implemented in our products does not guarantee error-free outputs — it provides documented oversight mechanisms and auditability
• You should not input sensitive personal information, protected health information (PHI), or classified data into any AI system without a specific, executed Data Processing Agreement governing that use

§ 6 — Mentis AI Chat Interface

The Mentis AI chat interface at bespokementis.com/mentis is provided for informational and demonstration purposes only. By using the Mentis chat, you acknowledge that:

• You are interacting with an artificial intelligence system, not a human representative
• Responses are generated by an AI model (currently powered by OpenAI) and may contain errors or inaccuracies
• Mentis is not a substitute for professional advice (legal, financial, medical, regulatory, or otherwise)
• You should not share sensitive, confidential, personally identifiable, or health information in this chat
• Conversations are stored only in your browser's localStorage and are not retained on Bespoke Mentis servers
• Mentis does not establish any professional, advisory, or contractual relationship between you and Bespoke Mentis
• The chat interface is subject to rate limiting, human verification, and may be interrupted for maintenance

§ 7 — MIOS (Mentis Intelligence Operating System)

MIOS is a live commercial product available by subscription. Use of MIOS is governed by these Terms and by the applicable Order Form or MSA. Additional terms specific to MIOS:

• MIOS modules (Analytics, Content, Email, CRM, SEO, Security, and others) are provided to help organizations manage internal operations — their outputs are advisory and must be reviewed by qualified personnel before business decisions are made
• MIOS is not a substitute for dedicated cybersecurity tooling, legal compliance review, or financial advice — even where MIOS modules address these domains
• Client data processed within MIOS environments is governed by a Data Processing Agreement (DPA), not these general Terms
• Implementation fees are non-refundable once platform configuration has begun

§ 8 — Agent Conexus

Agent Conexus is a live commercial product available by subscription. Additional terms:

• Agent Conexus automates outbound sales prospecting and communication. You are responsible for ensuring all outreach conducted through Agent Conexus complies with applicable law, including CAN-SPAM, CASL, GDPR, and any applicable cold-outreach regulations in your jurisdiction
• You represent that you have a lawful basis for contacting each prospect in your pipeline
• Bespoke Mentis is not liable for regulatory enforcement actions arising from your use of Agent Conexus outreach capabilities
• AI-generated email content must be reviewed before sending — the "autopilot" framing describes automation capability, not the removal of your compliance responsibility
• Lead data enriched through Agent Conexus comes from third-party data providers; accuracy is not guaranteed and is subject to the terms of those providers
• Implementation fees are non-refundable once platform configuration has begun

§ 9 — Project Foresight

Foresight is a governed intelligence platform for pharmaceutical and biotechnology organizations. Due to the regulated nature of its deployment context, additional terms apply:

• Not a clinical decision tool. Foresight provides competitive intelligence, regulatory landscape analysis, payer intelligence, and evidence synthesis. It is not a clinical decision support system, is not a medical device, and does not replace qualified medical, clinical, or regulatory professional judgment
• Not validated for patient-level decisions. Foresight outputs are intended for strategic and operational use by medical affairs, regulatory, and market access teams — not for individual patient treatment decisions
• Validation responsibility. Computer Software Assurance (CSA) and any required IQ/OQ/PQ validation activities are the client's responsibility. Bespoke Mentis provides validation documentation packages to support this process but does not conduct the client's own validation
• Regulatory compliance. You are responsible for ensuring your use of Foresight complies with applicable regulations (21 CFR Part 11, EU Annex 11, HIPAA, GxP, and others) within your organization
• Data use prohibition. Bespoke Mentis does not train AI models on client pharmaceutical data or proprietary compound data processed within Foresight deployments
• Implementation fees and validation documentation packages are non-refundable once delivery has commenced

§ 10 — Mentis Console (Beta)

Mentis Console is currently in beta. Beta access is governed by these Terms and any applicable Beta Participation Agreement. Additional terms apply:

• Beta nature. Mentis Console is pre-general-availability software. It may contain bugs, experience unexpected behavior, have incomplete features, or undergo significant changes including breaking changes without advance notice
• No SLA during beta. No uptime SLA applies to Mentis Console beta access. General Availability (GA) pricing and SLA terms will be published separately
• Feedback license. Beta participants grant Bespoke Mentis an irrevocable, royalty-free license to use feedback, suggestions, and bug reports to improve the product — this does not include client data or confidential business information
• Foundation pricing. Foundation cohort pricing is locked through GA per the applicable Order Form but does not automatically renew at that rate beyond the documented lock-in period
• AI engineering outputs produced by Mentis Console remain subject to the AI output ownership terms in § 14 below

§ 11 — Lumen

Lumen is in confidential development and is not yet available as a commercial product. Access to Lumen information on this website is for informational purposes only and does not constitute an offer to sell, a solicitation, or a binding commitment of any kind. Any future Lumen engagement will be governed by a separate agreement.

§ 12 — Billing & Subscriptions

The following terms apply to paid Bespoke Mentis products (MIOS, Agent Conexus, Foresight, Mentis Console):

• Fees. Subscription fees are as stated on the applicable product page or Order Form at the time of purchase. All fees are stated in US dollars and are exclusive of applicable taxes unless otherwise specified
• Payment. Subscription fees are billed in advance on a monthly or annual basis as selected. Implementation and onboarding fees are invoiced separately and due prior to deployment commencement
• Implementation fees. Platform configuration and onboarding fees are non-refundable once the configuration process has commenced, regardless of subsequent cancellation
• Annual billing discount. Annual prepayment may qualify for a discount as published on the applicable product page. Annual fees are non-refundable after the 14-day review period
• Price changes. Bespoke Mentis reserves the right to change subscription pricing with 60 days' advance written notice to current subscribers. Price changes do not apply to the current prepaid subscription period
• Cancellation. Monthly subscriptions may be cancelled at any time effective at the end of the current billing period. Annual subscriptions may be cancelled but are not refundable after the 14-day review period. To cancel, email click to reveal email with subject line "Cancellation Request"
• Late payment. Overdue amounts accrue interest at 1.5% per month (or the maximum lawful rate) from the due date. Bespoke Mentis reserves the right to suspend access for accounts more than 30 days past due
• Taxes. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on transactions between you and Bespoke Mentis

§ 13 — No Training on Client Data

Bespoke Mentis does not use client data to train, fine-tune, or improve AI models.

Specifically, data you submit through enterprise products (MIOS, Agent Conexus, Foresight, Mentis Console) — including but not limited to CRM records, outbound prospect data, pharmaceutical intelligence data, engineering project data, and internal business information — is:

• Processed solely for the purpose of delivering the contracted service to you
• Not used to train, evaluate, or improve AI models used in our products or in third-party AI providers' products
• Not shared with other clients or used to generate outputs for other clients
• Protected by the data isolation and access control architecture described in your DPA

This no-training commitment is a core contractual term and is separately stated in our Data Processing Addendum (DPA). In any conflict between these Terms and an executed DPA regarding data training, the DPA controls.

§ 14 — AI Output Ownership

Ownership of AI-generated outputs is allocated as follows:

• Client-directed outputs. AI outputs generated within your enterprise product environment using your data, prompts, and configuration belong to you, subject to applicable law regarding AI-generated works and the restrictions in § 3 above
• No IP warranty. Bespoke Mentis does not warrant that AI outputs are free from third-party intellectual property claims. You are responsible for reviewing AI outputs for potential IP issues before commercial use
• Bespoke Mentis IP in outputs. Any output that contains or reflects Bespoke Mentis proprietary framework logic, system architecture documentation, or governance methodology remains the intellectual property of Bespoke Mentis regardless of who prompted the generation
• Public Mentis chat outputs. Outputs generated through the public Mentis chat interface are provided for informational purposes only; Bespoke Mentis makes no claim to restrict your use of these outputs for personal reference, subject to the AI disclaimer in § 6

§ 15 — Meeting Scheduling

If you schedule a discovery call or meeting through our Site, you agree to: provide accurate contact information; attend scheduled meetings or provide at least 24 hours notice of cancellation; and not use meeting scheduling as a mechanism to extract confidential product information outside of a formal enterprise evaluation process. Bespoke Mentis reserves the right to decline or cancel meetings at its discretion.

§ 16 — User Conduct & Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe the intellectual property, privacy, or other rights of any third party
• Transmit viruses, malware, ransomware, or other harmful code
• Attempt to gain unauthorized access to our systems, infrastructure, or data
• Interfere with, disrupt, or damage the Services, servers, or networks
• Use automated tools (bots, scrapers) to systematically extract content without authorization
• Attempt to circumvent, disable, or reverse-engineer any AI safety control, governance layer, or constitutional enforcement mechanism
• Impersonate any person or entity or misrepresent your affiliation
• Use the Services to generate spam, phishing content, disinformation, or content designed to deceive or harm third parties
• Submit protected health information (PHI), classified information, or third-party confidential data without proper authorization and a governing DPA
• Use the Services in a manner that creates liability for Bespoke Mentis under applicable AI regulations including but not limited to the EU AI Act, California AI laws, or sector-specific regulations

§ 17 — Privacy

Your use of the Services is governed by our Privacy Policy (v2.0, effective March 11, 2026), which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding collection, use, and disclosure of your personal information, including your California and EU rights.

§ 18 — Third-Party Services

The Services integrate with third-party services including OpenAI, Google Calendar, Resend/SendGrid, Vercel, Neon, hCaptcha, LinkedIn, and others. Bespoke Mentis is not responsible for the content, privacy practices, uptime, or terms of service of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms. The full list of sub-processors is at bespokementis.com/legal/subprocessors.

§ 19 — Healthcare & Regulated Industry Disclaimer

Certain Bespoke Mentis products are designed for use in healthcare, pharmaceutical, and other regulated industries. The following additional disclaimers apply:

• Not a medical device. No Bespoke Mentis product has been cleared or approved by the FDA as a medical device. None of our products are intended to diagnose, treat, cure, or prevent any disease or health condition
• Not a substitute for professional judgment. Outputs from Foresight and other AI systems in regulated contexts are tools to support, not replace, qualified professional review by licensed physicians, pharmacists, regulatory affairs professionals, or other qualified personnel
• GxP compliance responsibility. You are responsible for determining whether and how Bespoke Mentis products may be used in your GxP environment and for conducting any required validation activities
• HIPAA. Bespoke Mentis will execute a Business Associate Agreement (BAA) with covered entities and business associates as required by HIPAA. Contact click to reveal email to request a BAA

§ 20 — Export Controls

The Services and related technology are subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR). You represent and warrant that: (a) you are not located in a country subject to a U.S. government embargo or designated as a "terrorist-supporting country"; (b) you are not listed on any U.S. government list of prohibited or restricted parties; and (c) you will not use the Services to develop weapons of mass destruction or for any purpose that would violate applicable export controls.

§ 21 — Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS. BESPOKE MENTIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. NO AI OUTPUT IS WARRANTED TO BE ACCURATE, COMPLETE, CURRENT, OR FIT FOR ANY PARTICULAR PURPOSE. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

§ 22 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BESPOKE MENTIS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR AI OUTPUT-RELATED LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF BESPOKE MENTIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BESPOKE MENTIS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BESPOKE MENTIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY — IN SUCH JURISDICTIONS, LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

§ 23 — Indemnification

You agree to indemnify, defend, and hold harmless Bespoke Mentis and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including IP rights, privacy rights, or applicable law; (d) any content you submit to the Services; or (e) your use of AI outputs in a manner that causes harm to third parties.

§ 24 — Modifications to Terms

Bespoke Mentis reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes by updating the "Last Updated" date and version number. For significant changes affecting paid subscribers, we will additionally notify by email. Your continued use of the Services after the effective date of any modifications constitutes acceptance of the new Terms.

§ 25 — Termination

Bespoke Mentis reserves the right to suspend or terminate your access to the Services immediately, without prior notice or liability, if you breach these Terms, violate our Acceptable Use Policy, or engage in conduct that poses risk to other users, our infrastructure, or third parties. Upon termination, your right to use the Services immediately ceases. Provisions that by their nature survive termination (including IP, indemnification, disclaimers, and limitation of liability) remain in effect.

§ 26 — Dispute Resolution

Before initiating formal legal proceedings, we request that you attempt to resolve disputes informally by contacting click to reveal email with a description of the dispute and your proposed resolution. We will attempt to respond and resolve the matter within 30 days.

If informal resolution fails, disputes shall be resolved by binding arbitration in Los Angeles County, California, administered by JAMS under its Streamlined Arbitration Rules and Procedures for claims under $250,000, and its Comprehensive Arbitration Rules and Procedures for larger claims. This arbitration clause does not apply to claims for injunctive or equitable relief to protect intellectual property rights, which may be brought in any court of competent jurisdiction.

§ 27 — Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For any matters not subject to arbitration, the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California shall apply. If you are an enterprise customer subject to an MSA, the governing law provision in your MSA controls.

§ 28 — Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining Terms shall continue in full force and effect.

§ 29 — Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any executed Order Form or MSA, constitute the entire agreement between you and Bespoke Mentis regarding the Services and supersede all prior agreements and understandings. In the event of conflict: an executed MSA or Order Form controls over these Terms; these Terms control over any prior verbal representations.
